Terms of Service

1. Agreement to Terms

1.1 These Terms of Service constitute a legally binding agreement made between you, whether personally or on behalf of an entity (“you”) and EStudy Ltd (“Company,” “we,” “us,” or “our”), concerning your access to and use of the StudyDex website at studydex.net as well as any other media form, media channel, mobile website or mobile application related, linked, or otherwise connected thereto (collectively, the “Platform”).

1.2 By accessing or using the Platform, you agree to be bound by these Terms. IF YOU DO NOT AGREE WITH ALL OF THESE TERMS, YOU MUST NOT USE THE PLATFORM.

1.3 We may update these Terms from time to time. The “Last Updated” date will change. Your continued use after changes constitutes acceptance.

1.4 The Platform is intended for users who are at least 13 years of age (or the age of digital consent in your jurisdiction). Users under 18 must have permission from a parent or guardian. If you are a school, teacher, or tutor, you represent that you have authority to bind your institution or yourself.

2. Intellectual Property Rights

2.1 All content on the Platform – including resources, question banks, progress tracking tools, software, text, graphics, logos, and videos – is owned by or licensed to StudyDex and is protected by copyright, trademark, and other intellectual property laws.

2.2 You are granted a limited, non‑exclusive, non‑transferable licence to access and use the Platform and to print or download materials solely for your personal or educational use (e.g., classroom use by a teacher, tutoring sessions by a tutor). You may not resell, redistribute, or create derivative works without our prior written consent.

3. User Representations

By using the Platform, you represent and warrant that:

  • All registration information is true, accurate, and complete.
  • You will update your information as needed.
  • You are at least 13 years old (or have obtained parental consent if younger, where permitted by law).
  • You are not a minor without parental permission in your jurisdiction.
  • You will not use the Platform for any illegal or unauthorised purpose.
  • You will not access the Platform through automated means (bots, scrapers).

4. Account Types & Registration

4.1 Student Account – for individual learners to access resources and track their own progress. Students under 13 may only create an account under a school, parent, or tutor subscription.

4.2 Teacher Account – for educators to create classes, assign resources, and view student progress. Teachers must be employed by or authorised by a school.

4.3 Tutor Account – for independent or agency‑affiliated tutors to manage their tutees, assign resources, and track student progress. Tutors represent that they are qualified to provide educational support and will comply with all applicable laws regarding tutoring services. Tutors may link their account to a school only if authorised.

4.4 Parent Account – for parents or legal guardians to create and manage accounts for their children, monitor their child’s progress, access resources, and communicate with teachers or tutors (if enabled). Parents are responsible for supervising their child’s use of the Platform and for obtaining any necessary consents from the other parent or guardian.

4.5 School Admin Account – for school representatives to manage teacher licences, view school‑wide analytics, and handle billing.

4.6 You are responsible for keeping your password confidential. You agree to notify us immediately of any unauthorised use of your account. Parents and tutors must not share their login credentials with students.

5. Prohibited Activities

You agree not to:

  • Share login credentials with unauthorised persons (e.g., a student sharing a password with another student; a tutor sharing their account with a non‑tutor).
  • Attempt to access another user’s private progress data or grades unless you are that user’s parent, teacher, tutor, or school admin with legitimate educational need.
  • Upload viruses, malware, or any content that is harmful, obscene, defamatory, or infringes third‑party rights.
  • Reverse engineer, decompile, or copy any part of the Platform to build a competing service.
  • Use the Platform to cheat (e.g., sharing answer keys publicly, tutors completing assignments on behalf of a student).
  • Sell or transfer your account to another person.
  • Use a Parent or Tutor account to harass or unduly pressure a student.

Violation may result in immediate suspension or termination of access for all accounts under your control.

6. User Content & Data

6.1 Student Work – You retain ownership of any assignments, answers, notes, or other content you submit. We only use it to provide the Platform (e.g., to allow teachers, tutors, and parents to review and track progress).

6.2 Teacher & Tutor Materials – Teachers and tutors retain ownership of lesson plans, tests, and resources they upload. We may use aggregated, anonymised data to improve the Platform.

6.3 Parent‑Provided Data – Parents may provide information about their child (e.g., name, year group). Parents warrant that they have legal authority to provide such data and consent to its processing as described in our Privacy Policy.

6.4 School Data – Schools own their student rosters, grades, and other institutional data. We act as a data processor and will not sell student data to third parties or use it for advertising.

6.5 You grant us a limited licence to host, store, and display your content solely as necessary to operate the Platform. This licence ends when you delete your content or your account is closed.

7. Progress Tracking & Accuracy

7.1 The Platform provides analytics tools (gradebooks, time tracking, mastery scores) based on data entered by teachers, tutors, parents (where permitted), and students. We do not guarantee that these analytics are error‑free. Teachers, tutors, and schools remain responsible for verifying grades before official reporting.

7.2 Parents and tutors may view the progress of students linked to their account, but they cannot alter official school records unless authorised.

8. Privacy & Student Data Protection

8.1 Our Privacy Policy explains how we collect, use, and protect personal data. By using the Platform, you agree to the Privacy Policy.

8.2 COPPA (US) – We do not knowingly collect personal information from children under 13 without verifiable parental consent. Parents and schools are responsible for providing such consent.

8.3 FERPA (US) – We comply with FERPA regarding confidentiality of student education records. Schools remain the “educational agency” for their students.

8.4 GDPR (Europe) – If you are in the EU, we process data based on legitimate educational interest, contract necessity, or parental consent where required.

9. Subscriptions & Payment

9.1 Free Tier – Limited access to resources and basic progress tracking (may not include tutor or parent dashboards).

9.2 Paid Subscriptions – Full access to resources, advanced analytics, and classroom/tutor management. Fees are set out on our pricing page.

9.3 Billing – Subscriptions are billed monthly or annually as chosen. Payments are non‑refundable except as required by law.

9.4 Cancellation – You may cancel at any time via your account settings. After cancellation, access continues until the end of the current billing period; no further payments are taken.

9.5 Schools & Tutors – Institutional subscriptions for schools or tutor agencies may be governed by a separate Master Subscription Agreement.

10. Refund Policy

10.1 For individual consumers (parents, students, or independent tutors): you have 14 days from the date of purchase to request a refund, provided you have not substantially used the Platform (e.g., downloaded extensive content). After 14 days or after significant use, no refunds are given.

10.2 For schools and businesses: subscription fees are non‑refundable unless we materially breach these Terms.

10.3 Refund requests must be sent to [email protected] with your account details and reason.

11. Third‑Party Links & Integrations

The Platform may contain links to third‑party websites (e.g., Google Drive, YouTube) or integrate with LMS systems (Canvas, Schoology). We are not responsible for the content, privacy practices, or availability of those third parties. Your use of integrations is subject to their terms.

12. Platform Availability & Support

12.1 We use reasonable efforts to keep the Platform available 24/7, except for scheduled maintenance (which we will try to notify you of in advance) and unscheduled emergency maintenance.

12.2 We do not guarantee that the Platform will be uninterrupted or error‑free. You are responsible for your own internet connection and device security.

13. Term & Termination

13.1 These Terms remain in effect while you use the Platform.

13.2 We may suspend or terminate your account immediately if you breach these Terms (e.g., cheating, sharing logins, harassing other users, a tutor doing a student’s work). Schools may have their entire institution suspended for repeated violations by staff, tutors, or students.

13.3 Upon termination, you must cease using the Platform and destroy any downloaded materials. We may delete your data in accordance with our Privacy Policy.

14. Disclaimer of Warranties

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE”. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, SECURE, OR ERROR‑FREE. WE DISCLAIM ALL IMPLIED WARRANTIES, INCLUDING MERCHANTABILITY AND FITNESS FOR A PARTICULAR PURPOSE (E.G., THAT USING STUDYDEX WILL GUARANTEE IMPROVED TEST SCORES OR THAT A TUTOR’S SERVICES WILL ACHIEVE SPECIFIC RESULTS).

15. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, STUDYDEX AND ITS DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, OR CONSEQUENTIAL DAMAGES (INCLUDING LOST GRADES, DOWNTIME DURING EXAMS, OR DATA BREACHES) EXCEEDING THE AMOUNT YOU PAID IN THE PRIOR 6 MONTHS. Tutors and parents assume full responsibility for their interactions with students and children.

16. Indemnification

You agree to defend, indemnify, and hold harmless StudyDex and its employees from any claims, losses, or expenses arising from your misuse of the Platform, your breach of these Terms, or your violation of any law. Schools, tutors, and parents agree to indemnify StudyDex against claims arising from their failure to obtain required consents or from their supervision (or lack thereof) of students under their care.

17. Governing Law & Dispute Resolution

17.1 These Terms are governed by the laws of England and Wales (or choose your jurisdiction). If you are a consumer, you may also have statutory rights in your country of residence.

17.2 Any dispute arising out of these Terms shall first be attempted to be resolved informally by contacting [email protected]. If not resolved within 30 days, either party may bring proceedings in the courts of London, UK (or your local small claims court if you are a consumer).

18. Modifications to the Platform

We reserve the right to modify, update, or discontinue any part of the Platform at any time. If we make material changes that affect your use (e.g., removing a major feature), we will notify you via email or in‑app notice at least 30 days in advance.

19. Miscellaneous

19.1 These Terms constitute the entire agreement between you and StudyDex.

19.2 If any provision is found to be unenforceable, the remaining provisions remain in effect.

19.3 Our failure to enforce a right does not waive that right.

19.4 You may not assign these Terms without our written consent. We may assign them to an affiliate or successor.
